A court in Nakuru was on Thursday left reeling in shock following mysterious claims that two dead company directors attended a meeting and even proceeded to transfer shares.
Justice Joel Ngugi heard that Kiprono Chebet and Morogo Chebet mysteriously attended a board meeting of Solai-Ruiyobei Farm Limited five years after death.
In the case, former farm treasurer Cheruiyot Arap Chemngwony wants detectives to ascertain the legality of the minutes showing that the two proceeded to transfer their shares.
The document shows that Morogo, who died on February 3, 2006, on July 18, 2012, transferred a share to Charles Olari, while Kiprono who died on November 2, 2007, transferred his to Joseph Lenginech in the same meeting.
Chemngwony says minutes indicate that Kiprono even conducted prayers during the meeting, whose agenda was the resignation of the two and transfer of shares.
“After a long discussion, the board members accepted his request and replaced him with Mr Joseph Lenginech,” reads the minutes which indicate that eight people were in attendance.
Chemngwony has accused Olari of forging the document and letter forwarded to the Office of the Registrar of Companies.
The judge ordered Olari to file a response in two weeks.
